By accessing or using services on https://ikigaimedia.io (the "Website") or its Discord server, operated by Ikigaicy Ltd., a limited liability company incorporated in Cyprus ("we", the “Company” "us," or "Ikigai"), you, the User (whether as an individual or representing an entity), accept and agree to these Terms and Conditions ("Terms") and any other explicitly outlined policies on the Website, including our Privacy Policy ( see more on https://ikigaimedia.io/privacypolicy). These Terms form a legally binding agreement governing your access to and use of the Company’s services, including but not limited to related content, updates, and documentation. If you disagree with any part of these Terms, you should refrain from using the Service.
Definitions

For the purposes of these Terms and Conditions, the following terms have the meanings set out below:
"The Company" or "Ikigai Media" or "Ikigai" – Refers to Ikigaicy Ltd., a company incorporated in Cyprus, which owns and operates the services available on https://ikigaimedia.io/ and its associated Discord server.
"Website" – Refers to https://ikigaimedia.io/, the official website of Ikigaicy Ltd., where information, services, and access to account management for Users are provided.
"Discord Server" – Refers to the Discord platform through which Ikigai provides customer support, service updates, and account management until the website dashboard is fully operational.
"User" or "You" – Refers to any individual or entity accessing or using Ikigai’s Services, whether directly or as a representative of an organization.
"Services" – Encompasses all services offered by Ikigai, including but not limited to the sale and management of TikTok agency accounts ("Ad Accounts") and Premium Subscriptions, as well as related updates, guidance, and performance reviews.
"Ad Accounts" – Refers to the TikTok agency advertising accounts managed by Ikigai, which provide access and support for Users in promoting and managing content on TikTok platform.
"Basic Subscription" – A subscription plan offered by Ikigai that includes an access token for an Ad account.
"Premium Subscription" – A subscription plan offered by Ikigai that includes specialized services such as website and ad performance reviews, expert marketing guidance, and enhanced customer support.
"Payment Method" – The authorized payment source provided by the User to cover fees associated with Ikigai’s services, including credit/debit card, direct bank transfers, or other acceptable forms of payment.
"No Refund Policy" – A policy stating that all payments for services offered by Ikigai are non-refundable, with no exceptions.
"Inactive Account" – An account that has not been used or accessed by the User for a period exceeding 30 days.
"GDPR" – General Data Protection Regulation, a European Union Law that governs the processing and protection of personal data.
"Personal Data" – Any information that can identify a User, either directly or indirectly, as defined under GDPR.
"Intellectual Property" – Includes all content, trademarks, and materials provided by Ikigai, protected under intellectual property laws, including but not limited to proprietary content, themes, and documentation.
"License" – The non-exclusive, non-transferable right granted to Users to access and use
Ikigai’s Ad Accounts and/or Premium Subscriptions as intended and agreed between the Company and the User.
"Termination of Access" – The discontinuation of a User’s access to Ikigai Services due to a breach of these Terms and/or inactivity and/or after the User’s will to terminate.
"User-Generated Content" – Content submitted by Users, including feedback, suggestions, and other contributions made to Ikigai’s website for service improvement.
1. Acceptance of Terms
By accessing or using the services offered by Ikigai through https://ikigaimedia.io or its Discord Server, you consent and are bound to these Terms and Conditions (“Terms”), which govern all access and use of our services, including but not limited to the sale and management of TikTok agency accounts (“Ad Accounts”) and Premium Subscriptions (collectively, the “Services”). If you do not agree to these Terms, you may not access or use the Service.

2. Provision of Service
2.1 Ikigai facilitates the sale and management of Ad Accounts and Premium Subscriptions. Until the website dashboard is fully operational, all service-related communication and transactions will be conducted via Discord.

3. Fees and Payment
3.1 Ad Accounts: For accounts where users add their payment method directly, no top-up fees apply. A fee up to 3.5% is imposed on transactions processed by our team, calculated on the amount received.
3.2 Basic Membership Fees: Basic Membership is billed at $49 every month and includes access to one of our TikTok Advertising Accounts.
3.3 Premium Membership Fees: Premium Membership is billed at $199 every month and includes enhanced support and any additional services agreed with the User.
3.3 Both Subscriptions are billed automatically every month, with a notification sent 7 (seven) days before each payment. Subscription cancellation is possible at any time, preventing further billing beyond the cancellation date. 3.4 Ikigai reserves the right to modify service prices.

4. No Refund Policy
4.1 All purchases of Ad Accounts and Subscriptions are strictly non-refundable. By purchasing an Ad Account or Premium Subscription, you acknowledge and agree that refunds will not be issued for any reason, including dissatisfaction or account suspension due to breach of the Terms. This policy applies without exception to all Users, including those within the EU.
4.2 By accepting these Terms and purchasing our Services, you acknowledge and waive your right of withdrawal in accordance with Article 16(m) of the EU Consumer Rights Directive 2011/83/EU, which specifies that the 14-day withdrawal period does not apply to the supply of digital content not supplied on a tangible medium, once the performance has begun with the consumer's prior express consent.
4.3 Accounts inactive for over 30 days may be suspended, and reactivation may not be available. Suspended accounts will also result in the deletion of the associated Discord channel.

5. Disclaimer and Limitation of Liability
5.1 The Company is neither affiliated with nor endorsed by TikTok, Inc. or Discord Inc. The Services provided are independent and not associated with these platforms.
5.2 The Services are offered “as is” and “as available,” without warranties of any kind. Ikigai disclaims any liability for direct, indirect, incidental, special, or consequential damages arising from the use of its Services.

6. Governing Law
6.1 Each Party agrees that this Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by the laws of Cyprus.
6.2 Each Party irrevocably agrees that any dispute, controversy or claim arising out of or in connection with this Agreement or its violation, termination or invalidity shall be finally resolved in Cyprus Courts.

7. Data Protection and Privacy
7.1 Ikigai processes personal data in compliance with the GDPR and relevant data protection laws, as outlined in our Privacy Policy at https://ikigaimedia.io/privacy-policy.
7.2 Users have rights to access, correct, or delete their personal data. While Ikigai takes reasonable measures to protect user data, it cannot guarantee absolute security.
7.3 Ikigai is committed to protecting User information in compliance with the GDPR. Users must ensure the accuracy of their details and secure their login credentials.

8. User Obligations and Restrictions
8.1 Users agree to utilize the Company’s Services lawfully and refrain from activities that: a) Breach laws or regulations;
b)
Compromise the Service’s integrity;
c)
Violate IKIGAI’s intellectual property rights or misrepresent affiliations;

8.2 Breaching these obligations may result in suspension or Termination of Access.

9. License and Use Restrictions
Upon purchase of any of the Services, Ikigai grants a non-exclusive, non-transferable license to access and use the Ad Accounts or Subscriptions as intended. Redistribution, resale, or modification without consent is prohibited.

10. Intellectual Property

10.1 All content provided by Ikigai, including Ad Accounts, themes, and documentation, is proprietary to Ikigai Media Ltd. Unauthorized use or reproduction is strictly prohibited.
10.2 Users agree to respect Ikigai’s intellectual property rights and refrain from extracting or modifying proprietary resources without authorization.

11. Service Continuity
11.1 While Ikigai aims to provide continuous access, service interruptions may occur due to maintenance or other unforeseen circumstances, with advance notice provided when feasible.
11.2 In the event of permanent discontinuation of services, users will retain access to purchased items without further updates or support.
11.3 Ikigai reserves the right to update, enhance, or modify its Services and Users shall be notified of significant updates.

12. User-Generated Content
By submitting content, you grant Ikigai a non-exclusive license to use, modify, and distribute it for service improvement purposes, while retaining ownership.

13. Severability
If a provision or part-provision of these Terms is held by a court or any other authority of competent jurisdiction as unenforceable it shall be considered modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Such modification under this clause will not impair the validity and enforceability of the rest of the Terms and the latter will continue to be given full force and effect to bind the parties agreed and consented to it.

14. Third-Party Software Compatibility
Ikigai provides its Services as designed and assumes no responsibility for compatibility with third-party software or code.

15. Termination of Access
15.1 The User may terminate access to the Services at any time, with or without cause, by contacting our support team at support@ikigaimedia.io. As stated above, no refunds will be made under no circumstance.
15.2 Ikigai reserves the right to terminate or suspend access to the Service without prior notice in the event of Terms violations.
16. Amendments
The Company reserves the right to amend or update these Terms at any time. Notice of changes will be posted on the Website, and continued use of the Services constitutes acceptance of the revised Terms. 17. Indemnity
You agree to indemnify and hold Ikigai Media Ltd., its officers, directors, and employees harmless from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with your use of the Ad Accounts or Website or any other intellectual property of the Company or violation of these Terms.

18. Confidentiality
Any information provided by the Company that is not public knowledge, including but not limited to pricing, marketing plans, business strategies, and any access information to the
Services, is considered confidential and breach of this Confidentiality clause shall constitute breach of the Terms .

Disclaimer:
We, IKIGAICY LTD, as a limited liability company incorporated Cyprus with registration number HE 453095 hereby declare and assure the holder of the card issued and authorized for use ( the “Card Holder”)in connection with our services and in accordance with TikTok's guidelines, that we are neither authorized nor have the capability to approve any payments or take any actions regarding the Card Holder of the card. All information collected is solely for the purpose of enabling the Card Holder to utilize our services. We shall not be held responsible for any matters beyond the collection of this necessary data, which is required by TikTok to provide our services.
Therefore, by reading this statement and providing any card details required, the Card Holder hereby acknowledges and accepts all the aforementioned.
